1. Introduction
Welcome to Huemain (“we,” “us,” “our”). By accessing or using our website and services (collectively, the “Services”), you agree to these Terms of Service (“Terms”). If you do not agree, please do not use our Services.

2. Services
We provide marketing consulting, graphic design, SEO, website management, reputation management, and related business‐to‐business services as agreed in individual Statements of Work or Proposals.

3. Client Obligations
Clients must:

• Provide timely feedback, materials, and approvals.
• Appoint a single point of contact.
• Abide by any third‐party terms (e.g., ad platforms, hosting).

4. Fees & Payment
4.1 All fees are due within 30 days of invoice date unless otherwise agreed in writing.
4.2 Late payments incur a finance charge of 1.5% per month (18% APR) or the maximum allowed by law.
4.3 Clients are responsible for any collection costs, including legal fees.

5. Intellectual Property
5.1 We retain ownership of all pre‑existing IP and methodologies.
5.2 Upon full payment, Clients receive a perpetual, non‑exclusive license to use deliverables for the agreed purpose.
5.3 We may showcase non‑confidential work in our portfolio.

6. Confidentiality
Each party agrees to keep the other’s confidential information secret and to use it only to fulfill its obligations hereunder.

7. Warranties & Disclaimers
7.1 We warrant that Services will be performed in a professional manner.
7.2 Except as expressly provided, Services are provided “as‑is,” and we disclaim all other warranties.

8. Limitation of Liability
To the fullest extent permitted by law, our aggregate liability shall not exceed the total fees paid by Client in the preceding 12 months.

9. Termination
9.1 Either party may terminate for material breach upon 15 days’ written notice if not cured.
9.2 Upon termination, Client pays for all Services performed through the termination date.

10. Governing Law & Dispute Resolution
These Terms are governed by the laws of Arizona. Any dispute shall be resolved by binding arbitration in Phoenix, AZ, under the American Arbitration Association’s rules.

11. Changes to Terms
We may update these Terms at any time; we’ll post the new “Last updated” date. Continued use of Services constitutes acceptance.
